    1. Acceptance of These Terms

    These Terms of Use ("Terms") form a binding agreement between you and THOHT Limited, a company registered in England and Wales ("THOHT", "we", "us", or "our"), governing your use of the THOHT macOS application and any related services (together, the "App"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not install or use the App.

    The App is distributed through the Apple Mac App Store. Your download and use of the App are also subject to the Apple Media Services Terms and Conditions and, where applicable, Apple's standard End User License Agreement for licensed applications. In the event of a conflict between those Apple terms and these Terms regarding your license to use the App, Apple's terms control; these Terms otherwise govern all additional matters, including the THOHT Pro subscription, third-party cloud processing, and your responsibilities as a user.


    2. License Grant

    Subject to your compliance with these Terms and any applicable Apple terms, THOHT grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on Apple Silicon Macs that you own or control, for your personal or internal business purposes. All rights not expressly granted are reserved.

    2.1 Restrictions

    You agree not to:

    • Copy, modify, distribute, sell, lease, or sublicense the App;
    • Reverse engineer, decompile, or disassemble the App, except where permitted by law;
    • Remove or alter proprietary notices or labels on the App;
    • Use the App to infringe third-party rights, violate applicable law, or transmit unlawful, harmful, or infringing content;
    • Circumvent, disable, or otherwise interfere with security-related features of the App or third-party services it integrates with.

    3. THOHT Basic and THOHT Pro

    3.1 Free Tier (Basic)

    THOHT Basic provides local speech-to-text transcription on your Mac at no charge. Core Basic functionality runs on-device and does not send your audio to our servers.

    3.2 Pro Subscription

    THOHT Pro is offered as an auto-renewing subscription purchased through the Mac App Store. Pricing is displayed in the App Store in your local currency and follows Apple's regional pricing.

    • Free trial. A 7-day free trial is offered to first-time Pro subscribers. Unless you cancel at least 24 hours before the trial ends, your subscription converts to paid and your payment method is charged.
    • Auto-renewal. Your subscription renews automatically at the end of each billing period unless you cancel at least 24 hours before the renewal date. The renewal price is charged by Apple to your App Store payment method.
    • Cancellation. You can cancel or manage your subscription at any time in your Apple ID subscription settings on macOS or iOS. Cancellation takes effect at the end of the current billing period; no partial refunds are provided for unused portions.
    • Refunds. Refund requests for App Store purchases are handled by Apple under Apple's policies.

    If a Pro subscription expires or is cancelled, Pro features are disabled and the App continues to operate in Basic mode.


    4. Audio, Transcription, and How the App Uses Your Input

    4.1 On-Device Transcription

    THOHT records audio from your microphone while you are actively dictating, for the sole purpose of producing a transcription. Core transcription runs a state-of-the-art speech model locally on your Mac. Audio captured for Basic transcription is not transmitted to our servers or any third party.

    4.2 Pro Cloud Processing

    THOHT Pro features — including AI-assisted polishing, translation, custom prompts, and context-aware formatting — send transcribed text (not raw audio) to third-party AI providers over the internet to generate the requested output. You understand that:

    • Processing occurs outside your device and is subject to the policies of those providers;
    • We do not control how these providers handle data on their infrastructure;
    • Third-party service availability, response times, and output quality are not guaranteed.

    Details on which providers are used and what data is sent appear in our Privacy Policy. You are responsible for not submitting content through Pro features that you are not permitted to send to a third-party processor.

    4.3 Accuracy and Review

    Transcription and AI-generated text are produced by statistical models and may contain errors, omissions, hallucinated content, or mistranslations. Accuracy can be affected by microphone quality, background noise, accent, pronunciation, speaking speed, and model limitations. You are solely responsible for reviewing and verifying all transcriptions and AI-generated output before using, sharing, or acting on them.


    5. Auto-Paste and System Permissions

    THOHT can paste transcribed or AI-processed text directly into the application you are using. This requires macOS Accessibility permission, which grants the App system-level privileges to simulate keyboard input and observe the frontmost application.

    You acknowledge the following risks of auto-paste:

    • Text may be pasted into an application or field other than the one you intended — including shared screens, public chat, email drafts, or terminal prompts.
    • Sensitive content may become visible to others if it is pasted into the wrong location.
    • Auto-paste may fail or mis-fire due to bugs, OS-level timing, or third-party app behavior.

    Review each transcription before allowing it to be pasted, and do not use auto-paste in contexts where a misplaced paste could cause harm (for example, into terminals that execute commands on input).


    6. Your Data

    6.1 Local Storage

    THOHT stores your transcription history and preferences locally on your Mac. No automatic backup to our servers is provided. You are responsible for backing up your own device. Uninstalling the App, resetting app data, or losing access to your device may result in loss of local history.

    6.2 Privacy Policy

    Our handling of personal data — including how local audio is processed, what metadata (if any) is collected, and what is sent to third-party providers when you use Pro features — is described in the THOHT Privacy Policy, which is incorporated into these Terms by reference.

    6.3 Sensitive Information

    Do not dictate information that you cannot afford to have transcribed, stored locally, or sent to a third-party AI service when using Pro features. This includes, but is not limited to, passwords, API keys, authentication codes, government-issued identifiers, financial account or payment card numbers, protected health information, attorney-client privileged material, and trade secrets. You remain responsible for complying with any confidentiality, professional, regulatory, or contractual obligations that apply to information you choose to dictate.


    7. Acceptable Use

    You agree not to use the App:

    • For any unlawful purpose or in violation of applicable laws or regulations;
    • To record the voice of another person where recording requires that person's consent and consent has not been obtained;
    • To harass, defame, or infringe on the rights or privacy of others;
    • To generate, process, or distribute content that violates third-party rights or applicable law, including content submitted to Pro cloud processors; or
    • In a manner that interferes with, disrupts, or damages the App or its associated services.

    8. Intellectual Property

    The App, its user interface, source code, models and weights distributed with the App, logos, and related trademarks are owned by THOHT Limited or its licensors and are protected by intellectual property laws. These Terms do not transfer any ownership rights to you. All rights not expressly granted under these Terms are reserved.

    If you send us feedback, bug reports, or feature suggestions, you grant us a perpetual, worldwide, royalty-free, irrevocable license to use that feedback to improve the App and our services, without obligation of compensation or attribution.


    9. Third-Party Components and Services

    The App incorporates or integrates with third-party software and services, including:

    • Open-source on-device speech-recognition libraries that run locally on your device;
    • Cloud AI providers used by THOHT Pro for text polishing, translation, custom prompts, and related features, as disclosed in the Privacy Policy;
    • Apple platform services (Mac App Store, StoreKit, Accessibility APIs, Neural Engine).

    Your use of those components and services is also subject to their own terms and privacy policies. We are not responsible for third-party services, and availability of Pro features may depend on those third parties.


    10. Warranties and Disclaimers

    The App is provided "AS IS" and "AS AVAILABLE". To the fullest extent permitted by applicable law, THOHT disclaims all warranties, whether express, implied, or statutory, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of transcription or AI-generated output. We do not warrant that the App will be uninterrupted, error-free, or that any defects will be corrected.

    Nothing in these Terms limits or excludes any warranty, right, or remedy that cannot be limited or excluded under applicable law, including your statutory consumer rights.


    11. Limitation of Liability

    To the fullest extent permitted by law, THOHT's total aggregate liability to you arising out of or relating to the App or these Terms shall not exceed the greater of (a) the amount you paid to Apple for the App or THOHT Pro during the twelve (12) months preceding the event giving rise to the claim, or (b) GBP 20.

    In no event shall THOHT be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, transcriptions, goodwill, or business opportunity, arising out of or relating to your use of the App, even if THOHT has been advised of the possibility of such damages. The limitations in this section do not limit liability that cannot be limited under applicable law (including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).


    12. Termination

    You may stop using the App at any time by uninstalling it. We may suspend or terminate your access to the App or to Pro features if you materially breach these Terms, if required by law, or if we cease to offer the service. Sections that by their nature should survive termination — including 8 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 13 (Governing Law), and 14 (General) — will survive.


    13. Governing Law and Disputes

    These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. Subject to any mandatory statutory rights of consumers in their country of residence, the courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the App.


    14. General

    14.1 Changes to These Terms

    We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. Material changes will be brought to your attention through the App or our website where reasonably feasible. Your continued use of the App after an update takes effect constitutes acceptance of the updated Terms.

    14.2 Entire Agreement

    These Terms, together with the Privacy Policy and any applicable Apple terms, constitute the entire agreement between you and THOHT regarding the App and supersede any prior agreements on the same subject matter, including any prior beta terms that applied during the TestFlight pre-release period.

    14.3 Severability and No Waiver

    If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.

    14.4 Assignment

    You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
